30 plus years of legal experience, conducted over 600 arbitrations and/or mediations, spent nearly 20 years as in-house counsel specializing in corporate and business law, including; securities, mergers, and acquisitions, litigation, insurance coverage and risk management, labor/employment, employee benefits, medical payor-provider issues and disputes, and construction matters for Fortune 100 companies. Also, represented apparel industry manufacturer and distributor of children and teen clothing on product licensing and development, design, sales, distribution, trucking and transportation, e-commerce and new media; augmented reality and application of program development and implementation.
Drafted and reviewed hundreds of different contracts, many valued more than $100 million, including the purchase and sale of numerous businesses and product lines, joint ventures, partnerships, real estate transactions, and transfer of intellectual property and computer hardware and software development agreements, and required due diligence efforts associated in addition to that. On behalf of issuers, handled Securities Exchange Commission filings and reported compliance with NYSE and Pacific Stock Exchange Rules.
As senior litigation counsel, managed staff and annual budgets of $2 to $4 million for in-house and outside counsel, and had primary responsibility for hundreds of litigation cases involving all types of state and federal employment and labor disputes, harassment, discrimination, bias, ADA and EEOC claims, employee benefit plan disputes, construction disputes, environmental clean-up, product defects, consumer disputes, and premises liability. Also, handled False Claims Act litigation, investigations, document productions, and search warrant raids as well as shareholder derivative and class action litigation. In 1994, legal representation turned to construction law: handled construction defect matters, breach of construction contracts, warranty, and insurance issues, mechanic's lien cases, and CSLB complaints and licensing issues.
From 2000 to 2005, participated in numerous continuing education programs sponsored by the Contractor's State Licensing Boards for California and Nevada, lecturing on construction laws, contracts drafting, risk management and alternative dispute resolution throughout California and in Nevada. Entertainment Law experience over the past few years has involved a variety of issues including music licensing, feature film financing, setting up domestic LLC's, operating agreements, director, writer agreements, a chain of title issues, talent and labor board matters. Also, copyright, trademark, protection/infringement, and fair use issues, work for hire, domain usage, advertising endorsements, blog and social networking, internet piracy matters, network provider and performance licensing, public performance rights, ASCAP licensing, and content protection.
From 2012 to present- primary client Evy of California, a clothing design and manufacturing company in Los Angeles, act as general counsel handling a wide variety of fashion, clothing, garment and manufacturing business transactions and compliance, intellectual property and licensing matters worldwide as well as general corporate matters, including acquisitions and technology transfers, also implemented Employee Stock Ownership Plan ("ESOP") and subsequent administration and proposed sale and redemption of minority ownership interest to Employee Stock Ownership Trust.
